Referral Program Terms and Conditions

These Referral Program Terms and Conditions ("Terms") govern your participation in the Legacy Logix Referral Program ("Program") offered by Our Legacy Labs, LLC ("Legacy Logix"). By participating in the Referral Program, you agree to be bound by these Terms. Please review these Terms carefully before becoming a member of our Program.

Enrollment in the Program

Eligibility: To be eligible for the Program, you must have the legal authority to enter into a binding agreement on behalf of your organization (“Referral Partner”). Accounts registered using automations (e.g. by bots or other means) are not permitted.

Registration: To enroll in the Program, simply complete the referral partner registration form. We reserve the right to accept or reject any referral partner application at our sole discretion.

Relationship between Parties

Referral Partner will actively promote Legacy Logix services (“Services”) to existing and future clients, and will receive a fee for each client that successfully subscribes to the Services via Referral Partner’s custom link.

Referral Partner and Legacy Logix are considered separate entities, operating as independent contractors. The provisions in these Terms do not establish a joint venture, agency, or employment connection between both parties.

Referral Rates and Payment

Rates: Legacy Logix will pay Referral Partner 25% of each referred client’s first year paid subscription. This rate is subject to change at Legacy Logix’s discretion, and will be communicated to Referral Partner in advance of any change.

Qualified Referrals: A qualified referral is a client who signs up and completes payment for a subscription to the Services using Referral Partner’s unique referral link or code. Only qualified referrals are eligible for fee payouts, and fees paid apply only to the first year of a client’s subscription.

Payment Method: Payouts are generated on a Net-30 basis. Fees will be dispersed according to the mutually agreed upon payout method.

Minimum Payout: A minimum threshold of $90 is applied before a payout can be made. Fees will accrue until this threshold is met.

Term and Termination

These Terms will remain in effect until terminated by either Legacy Logix or Referral Partner. You may terminate your participation in the Program at any time by providing written notice to Legacy Logix.

Effect of Termination: Upon termination, you will no longer be eligible to earn referral fees. Any fees earned before the termination date will be paid by Legacy Logix.

Intellectual Property

Limited License: Legacy Logix grants Referral Partner a non-exclusive, non-transferable, revocable license to use its logos, trademarks, and promotional materials solely for the purpose of promoting Legacy Logix Services as a Referral Partner.

Intellectual Property Rights: Referral Partner acknowledges that all intellectual property rights in Legacy Logix, its trademarks, and associated materials belong to the Legacy Logix. Referral Partner shall not modify, reproduce, or distribute any of these materials without the prior written consent of Legacy Logix.

Limitation of Liability

No Warranty: Legacy Logix provides no warranty or representation regarding the Program and the Services represented by the Program. The Program is provided on an "as is" basis.

Limitation of Liability: In no event shall Legacy Logix be liable for any indirect, consequential, or special damages arising out of or in connection with the Program, including but not limited to lost profits or loss of business opportunities.

General Provisions

Modification: Legacy Logix reserves the right to modify these Terms at any time, with prior written notice. Referral Partner’s continued participation in the Program after such modifications constitutes acceptance of the updated Terms.

Governing Law and Jurisdiction: The terms will be regulated and interpreted in compliance the laws of the State of California and the United States. The jurisdiction and venue for any action arising out of or relating to these terms shall be the California state and United States federal courts located in San Francisco, California.

By joining the Legacy Logix Referral Partner Program, you acknowledge that you have read, understood, and agree to be bound by these Program Terms and Conditions.
